Terms and Conditions
Effective Date: [25.09.2026]
Last Updated: [25.09.2026]
Welcome to Raymera.
These Terms and Conditions (“Terms”) govern your access to and use of the Raymera website, applications, software, subscriptions, products, services, APIs and related features made available through raymera.com and associated Raymera applications and services.
Raymera is a product and SaaS platform owned and operated by Divergent Business Systems Pvt. Ltd. (“DBS”, “we”, “us” or “our”), a company incorporated in India.
By creating an account, starting a trial, purchasing or subscribing to a Raymera product, clicking to accept these Terms, or otherwise using the Services, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company, organisation or other legal entity, you represent that you have authority to bind that entity. In such circumstances, “Customer”, “you” and “your” refer to that entity.
If you do not agree to these Terms, you must not access or use the Services.
1. About Raymera
Raymera provides cloud-based software products designed to support various stages of a business’s revenue and customer lifecycle, including discovering opportunities, attracting audiences, engaging prospects and customers, supporting conversion activities and growing customer relationships.
Individual Raymera products may include artificial intelligence, automation, analytics, conversational interfaces, lead generation, content generation, knowledge processing, integrations and other software capabilities.
Specific functionality, limits, usage allowances and commercial terms depend on the product, plan, add-ons and configuration purchased by the Customer.
The features displayed within your account and the applicable product entitlement maintained by Raymera determine the Services available to you.
2. Eligibility and Business Use
Raymera is primarily intended for legitimate business and professional use.
You must be legally capable of entering into a binding agreement and, where you act for an organisation, authorised to act on its behalf.
You are responsible for ensuring that your use of the Services complies with all laws, regulations and contractual obligations applicable to you, your organisation, your industry and the jurisdictions in which you operate.
Certain products or features may not be available in every country or jurisdiction.
We may decline to provide Services where doing so would violate applicable law, sanctions, regulatory requirements, third-party obligations or reasonable security requirements.
3. Account Registration
Some Services require a Raymera account.
You agree to provide accurate, complete and current account, organisation and billing information.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- controlling access granted to users within your organisation;
- assigning appropriate permissions;
- keeping account and contact information current; and
- all activity performed through your account by users whom you have authorised.
You must promptly notify us if you become aware of suspected unauthorised account access or other security incidents affecting your Raymera account.
We may require identity, email, organisation or payment verification where reasonably necessary for security, fraud prevention or service administration.
4. Organisation Accounts and Authorised Users
A Raymera subscription may belong to an organisation rather than an individual user.
The Customer is responsible for determining which individuals may use its account and what permissions they receive.
A Customer administrator may invite, remove or manage authorised users in accordance with the capabilities of the applicable plan.
Actions taken by an authorised user are treated as actions taken on behalf of the Customer to the extent permitted by that user’s assigned permissions.
You are responsible for promptly removing access for individuals who no longer require it.
5. Subscription Plans and Services
Raymera Services may be offered under one or more commercial models, including:
- free or paid trials;
- monthly subscriptions;
- annual subscriptions;
- one-time purchases;
- usage-based charges;
- user, seat or quantity-based charges;
- add-ons;
- implementation or setup services; and
- customised or enterprise arrangements.
The applicable product page, quotation, order form or checkout page will identify the material commercial terms of your purchase.
Features and allowances may differ between plans.
Purchasing one Raymera product does not automatically grant access to another product unless specifically included in your plan or bundle.
6. Trials
Raymera may offer trials for selected products or plans.
Trial duration, available features, usage limits and whether a payment method is required will be stated when the trial begins.
Unless clearly disclosed to you before starting a trial, a trial will not be silently converted into a paid subscription.
Where a trial is expressly offered with automatic conversion, the price, billing frequency and conversion date will be disclosed before you accept the trial.
We may limit trials to one per organisation, product or other reasonable eligibility criteria to prevent abuse.
At the end of a trial, trial-only features may be restricted or disabled unless the Customer purchases an applicable subscription.
7. Prices, Currency and Taxes
Prices displayed by Raymera may vary according to:
- product;
- plan;
- billing frequency;
- selected add-ons;
- usage;
- quantity;
- currency;
- country or market;
- applicable promotions; and
- applicable taxes.
Unless expressly stated otherwise, displayed prices exclude applicable taxes, duties, levies or governmental charges.
You are responsible for taxes legally payable in connection with your purchase, except taxes imposed on DBS’s own income.
Where required by law, applicable taxes may be calculated and added during checkout or invoicing.
Raymera may support multiple currencies. A price offered in one currency does not create an obligation for Raymera to provide an equivalent price calculated using a particular foreign-exchange rate in another currency.
8. Payment
You authorise Raymera and its authorised payment service providers to collect charges associated with your purchase.
Domestic Indian payments and international payments may be processed through different payment providers.
Payment processing is performed by authorised third-party payment processors. Raymera does not require or intend to store your complete payment-card number or CVV/CVC.
Your use of a payment provider may also be governed by that provider’s terms.
An order is not considered successfully paid merely because your browser displays a payment-success page. Raymera may verify payment through its payment provider before activating paid Services.
If payment remains pending, declined, reversed or unsuccessful, access may remain pending until payment is confirmed.
9. Automatic Renewal
Where a subscription is identified at purchase as automatically renewing, it will renew for successive billing periods unless cancelled in accordance with these Terms or the applicable order.
The renewal frequency will normally correspond to the billing period selected by the Customer.
Charges will be made using the authorised payment method or payment arrangement associated with the account.
Where reasonably practicable or required by law, Raymera may provide renewal information or reminders through your account or registered contact details.
You are responsible for maintaining valid billing information.
10. Price Changes
Raymera may change prices for future purchases or future subscription periods.
A change will not retrospectively alter charges already paid for a completed billing period.
For an existing recurring subscription, we will provide reasonable notice before a material price increase takes effect, unless the adjustment results from:
- taxes or government charges;
- third-party charges passed through on an agreed usage basis;
- an upgrade or additional service requested by you; or
- a separately agreed commercial arrangement.
If you do not wish to continue at a revised renewal price, you may cancel the affected subscription before the revised price becomes effective.
11. Usage Limits and Overage
Plans may include limits relating to conversations, contacts, leads, users, seats, websites, domains, content, storage, AI usage, data processing, integrations or other measurable capabilities.
Current usage and applicable allowances may be displayed within Raymera.
You must not attempt to circumvent technical or contractual usage limits.
Depending on the applicable product and plan, exceeding a limit may result in:
- a notification;
- temporary restriction of the affected feature;
- an opportunity to purchase additional capacity;
- an upgrade requirement; or
- an applicable overage charge disclosed under the commercial terms.
Raymera will not impose undisclosed overage charges.
12. Upgrades, Downgrades and Add-ons
Customers may be permitted to upgrade, downgrade or add eligible services through their account.
An upgrade may take effect immediately following successful payment.
A downgrade may take effect immediately or at the next renewal date, depending on the applicable product rules.
If your existing configuration or usage exceeds the limits of a lower plan, you may be required to reduce your usage or configuration before the downgrade can take effect.
Purchased add-ons remain subject to compatibility, usage and entitlement rules of the applicable product.
13. Cancellation
You may cancel an eligible recurring subscription through the account functionality provided by Raymera or through another cancellation method identified by us.
Unless otherwise stated when purchased:
Cancellation normally prevents future renewal and takes effect at the end of the current paid billing period.
You may continue using the paid Services until the effective cancellation date, subject to these Terms.
Cancelling a subscription does not automatically entitle you to a refund for amounts already charged.
Where Raymera expressly offers immediate cancellation, the consequences of that cancellation will be displayed before confirmation.
14. Refunds
Refunds are governed by the Raymera Cancellation and Refund Policy applicable at the time of purchase.
Unless that policy, your order terms or applicable law provides otherwise:
- subscription fees already paid are generally non-refundable once the applicable paid service period has commenced;
- unused portions of a subscription are not automatically refundable;
- usage-based charges already incurred are non-refundable;
- one-time setup, implementation or customised work that has already been performed is generally non-refundable; and
- duplicate or demonstrably erroneous charges will be investigated and corrected where verified.
Nothing in these Terms limits any refund, cancellation or other right that cannot lawfully be excluded.
15. Failed Payments
If a recurring payment fails, we may retry the payment and notify the account owner or billing contact.
Where commercially reasonable, Raymera may provide a limited grace period before suspending access.
During a payment-related suspension, the Customer remains responsible for amounts properly due.
We will not intentionally delete Customer Data immediately solely because of a first failed renewal payment.
If unpaid amounts remain outstanding after reasonable notice, we may suspend or terminate the affected Services.
16. Customer Data
As between the Customer and DBS, the Customer retains ownership of data, materials and content submitted to Raymera by or on behalf of the Customer (“Customer Data”).
You grant DBS and its authorised service providers a worldwide, non-exclusive licence to host, copy, transmit, process, analyse and otherwise use Customer Data only to the extent reasonably necessary to:
- provide the Services;
- operate requested functionality;
- provide support;
- maintain security;
- prevent fraud or abuse;
- comply with law; and
- improve the Services where permitted under our Privacy Policy and applicable agreements.
This licence ends when the relevant Customer Data is deleted from our systems, subject to lawful retention, backups and technical deletion cycles.
17. Your Responsibility for Customer Data
You represent that you have all rights, permissions, notices and lawful grounds required to provide Customer Data to Raymera and permit its processing in accordance with these Terms.
You are responsible for determining whether information uploaded, collected, generated or processed through your configuration of Raymera may lawfully be processed.
Where your use of Raymera collects personal information from your customers, website visitors, employees, prospects or other individuals, you are responsible for providing legally required notices and obtaining any required consent unless Raymera has expressly agreed otherwise in writing.
18. Privacy
Our processing of personal data relating to users of Raymera is described in the Raymera Privacy Policy.
Where Raymera processes personal data on behalf of a Customer in circumstances requiring a data processing agreement, the parties may enter into an applicable Data Processing Agreement (“DPA”).
Customers remain responsible for identifying legal or regulatory requirements specific to their own business and use case.
19. Confidentiality
Each party may receive confidential or proprietary information belonging to the other.
“Confidential Information” includes non-public business, technical, commercial, security, pricing and operational information that a reasonable person would understand to be confidential.
Each party agrees to:
- use the other party’s Confidential Information only for purposes relating to the Services or business relationship;
- take reasonable measures to protect it;
- disclose it only to personnel, professional advisers and service providers who reasonably need access and are subject to appropriate confidentiality obligations; and
- not disclose it to third parties except as permitted by these Terms or required by law.
Confidential Information does not include information that can be demonstrated to have been lawfully public, independently developed without use of the other party’s Confidential Information, or lawfully obtained from another source without confidentiality restrictions.
20. Raymera and DBS Intellectual Property
Raymera, DBS and their licensors retain all rights, title and interest in and to the Services and related technology, including:
- software;
- source code;
- object code;
- APIs;
- system architecture;
- workflows;
- algorithms;
- models and model orchestration;
- prompts and prompt frameworks;
- scoring methodologies;
- databases and data structures;
- user interfaces;
- designs;
- documentation;
- trademarks;
- logos;
- product names;
- proprietary processes; and
- improvements and derivative technology.
Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to the Customer.
You must not attempt to gain access to, extract or reproduce non-public proprietary elements of Raymera.
21. Licence to Use Raymera
Subject to payment of applicable fees and compliance with these Terms, DBS grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable right during the applicable subscription term to access and use the purchased Services for the Customer’s internal business purposes.
This licence does not permit you to resell, sublicense or commercially provide Raymera to third parties unless DBS has expressly authorised such use in writing.
22. Restrictions
You must not, and must not permit another person to:
- copy, modify or create unauthorised derivative versions of the Services;
- reverse engineer, decompile or attempt to derive source code, except to the limited extent such restriction is prohibited by applicable law;
- bypass authentication, entitlement, usage or security controls;
- access another customer’s account or data;
- probe, scan or test vulnerabilities without written authorisation;
- interfere with or disrupt the Services;
- use automated means to create unreasonable load on the platform;
- extract or scrape data from the Services except through functionality expressly made available for that purpose;
- use Raymera to develop or train a substantially competing product using proprietary Raymera materials;
- remove proprietary notices; or
- access hidden DBS administration or technical systems without authorisation.
23. Acceptable Use
You may use Raymera only for lawful purposes.
You must not use the Services to create, distribute, facilitate or knowingly support:
- fraud or deception;
- phishing or impersonation;
- malware or malicious code;
- unauthorised surveillance;
- unlawful discrimination;
- harassment, threats or abuse;
- violations of privacy or data-protection laws;
- infringement of intellectual-property rights;
- unsolicited communications that violate applicable anti-spam or marketing laws;
- unlawful collection or sale of personal information;
- attempts to obtain passwords, authentication credentials or confidential information without authority; or
- activity prohibited by applicable law.
We may investigate suspected abuse and take proportionate action to protect Raymera, DBS, other customers, third parties and the integrity of the Services.
24. Artificial Intelligence Features
Certain Raymera products use artificial intelligence, machine learning, large language models or similar technologies.
You understand that AI-generated output is probabilistic.
AI output may occasionally be:
- inaccurate;
- incomplete;
- outdated;
- misleading;
- inconsistent; or
- unsuitable for a particular purpose.
Raymera does not represent that AI-generated content will always be factually correct or error-free.
You are responsible for reviewing outputs before relying on them or communicating them externally.
25. Human Review and High-Impact Decisions
Raymera is designed to assist business teams, not eliminate appropriate human judgement.
You must apply suitable human review before relying on AI-generated output for decisions that could have significant legal, financial, employment, health, safety or similarly material consequences.
Unless expressly agreed in writing for a specific compliant use case, Raymera should not be used as the sole basis for making decisions concerning an individual’s legal rights, employment, creditworthiness, healthcare or other high-impact matters.
26. Customer Configuration of AI Services
Raymera may permit you to provide business information, instructions, knowledge sources, workflows, qualification criteria or other configuration materials.
You are responsible for the accuracy and legality of those materials.
Raymera may use such information to configure and operate the relevant product on your behalf.
DBS retains control over underlying technical components including proprietary prompts, infrastructure, provider selection, security architecture, model routing and orchestration unless expressly stated otherwise.
27. Third-Party Services and Integrations
Raymera may connect with third-party services such as payment processors, communication platforms, CRM systems, email providers, AI providers, analytics systems, hosting providers or other applications.
Your use of a third-party service may be subject to that provider’s own terms and privacy practices.
Raymera is not responsible for:
- a third party changing or discontinuing its service;
- a third-party API becoming unavailable;
- restrictions introduced by a third party;
- third-party account suspension caused by your conduct; or
- data loss or service interruption solely attributable to a third-party provider outside our reasonable control.
We will, however, take commercially reasonable steps to maintain supported integrations and respond to material integration failures.
28. Service Changes
Raymera is an evolving SaaS platform.
We may add, modify, replace or discontinue features from time to time.
We will not intentionally remove a material core capability from a paid subscription during its current committed subscription period without a reasonable business, technical, legal or security reason.
Where a material change substantially reduces the core functionality of a paid Service, we will use commercially reasonable efforts to provide advance notice or a reasonable alternative where practicable.
Minor interface changes, feature improvements, security changes, provider changes and technical modifications may occur without notice.
29. Beta, Preview and Experimental Features
Raymera may provide beta, preview, early-access or experimental functionality.
Such functionality may be incomplete, modified or discontinued and may not have the same support, availability or performance characteristics as generally available functionality.
Where practical, such features will be identified as beta, preview, early access or similar.
Unless otherwise agreed, you use beta or preview features at your discretion.
30. Security
DBS uses reasonable technical and organisational measures designed to protect Raymera and Customer Data.
However, no internet-connected system can be guaranteed to be completely secure.
You are responsible for:
- using secure credentials;
- protecting authorised devices;
- maintaining appropriate permissions;
- configuring your own connected applications securely; and
- promptly reporting suspected compromise.
You must not conduct penetration testing or security scanning against Raymera without prior written authorisation.
Responsible reports of genuine security vulnerabilities are welcome through our designated security contact.
31. Availability and Maintenance
We aim to provide reliable availability of Raymera Services.
However, unless a separate service-level agreement expressly applies, we do not guarantee uninterrupted or error-free availability.
Services may occasionally be unavailable because of:
- scheduled maintenance;
- emergency maintenance;
- security events;
- software releases;
- infrastructure failure;
- internet or telecommunications failure;
- third-party provider outages; or
- circumstances beyond our reasonable control.
Where reasonably possible, we will attempt to minimise material disruption.
32. Support
Support availability may depend on the product and plan purchased.
Raymera may provide support through online forms, email, account functionality or other published channels.
Support does not include unlimited custom development, consulting, integration engineering or implementation work unless included in your purchased plan or separately agreed.
33. Suspension
We may temporarily suspend all or part of the Services where reasonably necessary because of:
- overdue undisputed payment;
- suspected fraud;
- a security threat;
- material violation of these Terms;
- unlawful activity;
- significant abuse of the platform;
- excessive usage threatening platform stability;
- a legal or regulatory requirement; or
- conduct that materially threatens DBS, Raymera, customers or third parties.
Where the situation permits, we will attempt to notify you and provide a reasonable opportunity to correct the issue before suspension.
Immediate suspension may occur where delay could create material security, legal, financial or operational risk.
We will restore access when the underlying reason for suspension has been satisfactorily resolved where restoration is reasonably possible.
34. Termination by the Customer
You may terminate your use of Raymera by cancelling your subscriptions and ceasing to use the Services.
Termination does not remove payment obligations that arose before the effective termination date.
35. Termination by DBS
DBS may terminate an account or subscription where:
- the Customer materially breaches these Terms and fails to remedy the breach after reasonable notice where the breach is capable of remedy;
- fees remain materially overdue after notice;
- the Customer uses the Services unlawfully or fraudulently;
- continued provision would violate law or a binding governmental requirement;
- the Customer creates a serious security risk;
- the Customer repeatedly or materially violates the Acceptable Use provisions; or
- the applicable Service is permanently discontinued.
For serious unlawful conduct, fraud, intentional abuse or a significant security threat, termination may be immediate.
36. Effect of Termination
When a subscription expires or terminates, your right to use the affected paid Services ends.
Subject to the applicable product, legal requirements and our data-retention practices, we may provide a reasonable period during which the Customer can retrieve available Customer Data.
After the applicable retention period, Customer Data may be deleted or anonymised unless retention is required by law, for legitimate recordkeeping, dispute resolution, fraud prevention, security or backups.
Certain provisions of these Terms that by their nature should survive termination will continue to apply, including provisions concerning payments already due, intellectual property, confidentiality, disclaimers, indemnification, liability and dispute resolution.
37. Customer Indemnification
To the extent permitted by law, the Customer will defend or indemnify DBS, its affiliates, officers and personnel against third-party claims, losses, liabilities and reasonable costs arising from:
- Customer Data that infringes another person’s intellectual-property rights;
- the Customer’s unlawful use of the Services;
- material violation of these Terms;
- the Customer’s unlawful collection or processing of personal data; or
- applications, instructions or workflows created by the Customer that violate applicable law or third-party rights.
This obligation does not apply to the extent the claim results from DBS’s own breach, negligence or wilful misconduct.
DBS will provide reasonable notice of an indemnified claim and reasonable cooperation in its defence.
38. DBS Intellectual-Property Indemnification
For paid business customers, DBS will, subject to the limitations below, defend a third-party claim alleging that the unmodified Raymera Service supplied by DBS directly infringes that third party’s intellectual-property rights.
If such a claim arises, DBS may, at its option:
- obtain the right for the Customer to continue using the affected Service;
- modify or replace the affected functionality with materially equivalent functionality; or
- terminate the affected Service and provide an appropriate refund of prepaid fees relating to the unused portion of the terminated subscription.
This protection does not apply where the claim results from:
- Customer Data;
- Customer modifications;
- combinations with products not supplied or approved by DBS;
- use contrary to documentation or these Terms;
- continued use after DBS has provided a non-infringing alternative; or
- third-party products or content.
39. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.
DBS does not guarantee that:
- every feature will always be available;
- every output will be accurate;
- every lead or opportunity will convert;
- every generated item of content will achieve a particular commercial result;
- use of Raymera will increase revenue;
- third-party integrations will remain continuously available; or
- the Services will be completely free of errors or interruptions.
Nothing in these Terms excludes any warranty or right that cannot legally be excluded.
40. No Guaranteed Business Results
Raymera provides software tools intended to assist businesses.
Commercial outcomes depend on numerous factors outside our control, including your business, market, products, pricing, customer behaviour, implementation, data quality, sales execution and third-party systems.
Accordingly, examples, forecasts, demonstrations, recommendations, scoring, leads, insights and AI-generated outputs must not be interpreted as guarantees of revenue, sales, rankings, conversion, customer acquisition or any other business result.
41. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill or anticipated savings arising from these Terms, even if advised that such losses were possible.
To the maximum extent permitted by law, the aggregate liability of DBS and its affiliates arising out of or relating to the Services or these Terms will not exceed the total fees paid or payable by the Customer to DBS for the affected Service during the twelve months immediately preceding the event giving rise to the claim.
If the Customer has used only free Services, DBS’s aggregate liability will not exceed USD 100 or its equivalent, unless applicable law requires otherwise.
The liability cap does not apply to:
- fraud or fraudulent misrepresentation;
- wilful misconduct;
- liabilities that cannot lawfully be limited;
- the Customer’s obligation to pay valid fees;
- violation of the other party’s intellectual-property rights; or
- obligations expressly stated to be uncapped under a separately signed agreement.
For confidentiality and data-protection claims, an enterprise agreement or DPA may specify a different liability framework.
42. Feedback
If you voluntarily provide suggestions, recommendations or product feedback to Raymera, you grant DBS a perpetual, worldwide, royalty-free right to use that feedback to improve or develop its products and services.
This does not give DBS ownership of your Customer Data or confidential business information.
43. Publicity
DBS will not use the Customer’s name, trademarks or logo in public marketing materials as a customer endorsement without permission, except where such use is separately agreed.
44. Force Majeure
Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil disturbance, government action, widespread internet or telecommunications failures, major cloud-provider outages, labour disruption, epidemics, cyberattacks not reasonably preventable by appropriate security controls or other comparable events.
This clause does not excuse payment obligations for Services already provided.
45. Changes to These Terms
We may update these Terms as Raymera, applicable laws or our business practices evolve.
For routine or non-material updates, we may publish the revised Terms with a new “Last Updated” date.
If we make a change that materially affects the rights or obligations of existing paying Customers, we will provide reasonable advance notice through the Service, registered email address or another appropriate channel.
Unless an immediate change is required by law, security or regulatory direction, material changes will generally apply prospectively.
Continued use after the effective date of revised Terms constitutes acceptance of the revised Terms.
46. Order of Precedence
If a Customer has entered into a separately signed agreement, order form, enterprise agreement, DPA or other written contract with DBS concerning Raymera, that agreement may supplement these Terms.
If there is a direct conflict, the following order normally applies:
- separately signed agreement or enterprise agreement;
- applicable order form or statement of work;
- applicable DPA for data-processing matters;
- these Terms;
- product-specific policies and documentation.
A checkout order may contain product-specific commercial terms that supplement these Terms.
47. Electronic Communications
You agree that Raymera may provide contractual, transactional, security, billing and service communications electronically, including through email, your Raymera account or the Service interface.
Electronic acceptance of these Terms and electronic records may be used to establish the parties’ agreement to the extent permitted by applicable law.
Indian law recognises electronic transactions through the Information Technology Act, 2000. India Code
48. Assignment
You may not assign these Terms or transfer a subscription to another legal entity without our prior written consent, which will not be unreasonably withheld in connection with a legitimate corporate restructuring or business transfer.
DBS may assign these Terms to an affiliate or in connection with a merger, acquisition, restructuring, financing, transfer of business or sale of substantially all relevant assets, provided the assignee assumes the applicable obligations.
49. No Partnership or Agency
These Terms do not create a partnership, franchise, joint venture, employment relationship or agency between the Customer and DBS.
Neither party has authority to bind the other except as expressly agreed.
50. No Waiver
Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
51. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect.
The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended commercial effect where legally permissible.
52. Entire Agreement
These Terms, together with applicable order forms, policies and separately signed agreements expressly incorporated into them, constitute the agreement between the Customer and DBS concerning use of the applicable Services and supersede prior discussions concerning the same subject matter.
53. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Nothing in these Terms prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property, confidential information, data, security or prevent irreparable harm.
54. Dispute Resolution
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve a dispute through written notice and commercial discussion.
If a dispute cannot be resolved within 30 days after written notice, the dispute will be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. India Code
The arbitration will:
- be conducted by a sole arbitrator mutually appointed by the parties;
- be conducted in English;
- have its seat and legal place of arbitration in Bengaluru, Karnataka, India; and
- permit hearings to take place virtually where appropriate.
If the parties cannot agree on appointment of the arbitrator, appointment will be made in accordance with applicable law.
Subject to the arbitration clause and availability of interim judicial remedies, courts having jurisdiction in Bengaluru, Karnataka, India will have jurisdiction over matters arising from these Terms.
55. International Customers
Raymera may be purchased and used by customers outside India.
You remain responsible for laws applicable specifically to your organisation, industry and use of the Services in your jurisdiction.
Where mandatory local law provides a right that cannot legally be waived or limited by contract, these Terms do not attempt to waive that right.
Nothing in these Terms requires DBS to establish a legal presence in another jurisdiction solely because a Customer accesses Raymera from that jurisdiction.
